Data Processing Agreement

This Data Processing Agreement (“DPA”) forms part of the Vectra Terms of Service Agreement entered into between Vectra AI, Inc. (“Vectra”) and End User (“Agreement”), available at https://www.vectra.ai/legal/terms-of-service. Please follow the instructions below in order to execute this DPA:

1. Please click here to download the DPA, which has been pre-signed by Vectra.

2. To complete this DPA, End User must:

a. Fill in details in the Parties and Execution section at the top of the DPA, which must then be signed by an authorized signatory of End User.

b. Send the completed and signed DPA to Vectra by email to: privacy@vectra.ai.

3. Except as otherwise expressly provided in the Agreement, this DPA will become legally binding upon receipt by Vectra of the validly completed and signed DPA at the above noted email address. End User acknowledges that, by completing, signing and returning the DPA to Vectra, End User shall be deemed to have completed, accepted and signed the applicable Standard Contractual Clauses (“SCCs”), and for personal data transfers out of the United Kingdom, the UK International Data Transfer Addendum (“UK IDTA”).

Where End User wishes to separately execute the applicable SCCs and UK IDTA, End User must complete the following:

1. For the SCCs:

a. Where End User, acting as a controller of personal data, engages Vectra as a processor, click here to download the Module 2 Controller to Processor SCCs.

b. Where End User, acting as a processor of personal data on behalf of a controller, engages Vectra as a processor, click here to download the Module 3 Processor to Processor SCCs.

2. For the UK IDTA:

a. Where End User exports personal data out of the United Kingdom, click here to download the UK IDTA.

3. To complete the SCCs, End User must:

a. Fill in details under the Data exporter column in the Parties and Execution section at the top of the applicable SCCs, which must then be signed by an authorized signatory of End User.

b. Send the completed and signed SCCs to Vectra by email to: privacy@vectra.ai.

4. To complete the UK IDTA, End User must:

a. First complete the steps in paragraphs 1to 3 above.

b. Fill in details Under the Exporter column in Table 1 at the top of the document, which must then be signed by an authorized signatory of End User.

c. Send the completed and signed UK IDTA to Vectra by email to: privacy@vectra.ai.
